Terms of Service

1. Agreement to Terms

By accessing or using StackBE's website (stackbe.io), APIs, SDKs, dashboard, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

"You" refers to you, the individual or entity accessing the Service. "We," "us," and "our" refer to StackBE.

2. Description of Service

StackBE is a subscription management platform that provides authentication, billing, and entitlements APIs for software applications. The Service includes:

  • REST API for subscription management
  • TypeScript SDK (@stackbe/sdk)
  • Admin dashboard for managing applications
  • Stripe Connect integration for payment processing
  • Documentation and support resources

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and API keys
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the rights of others
  • Distribute malware or engage in phishing
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service for any illegal or fraudulent activity
  • Resell the Service without our prior written consent
  • Exceed rate limits or abuse API resources

5. Billing and Payment

Your Subscription to StackBE

StackBE offers subscription plans with different feature levels. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless required by law
  • We may change pricing with 30 days' notice

Your Customers' Payments

StackBE uses Stripe Connect to process payments from your customers. You maintain your own Stripe account and direct customer relationships. StackBE is not a party to transactions between you and your customers.

You are responsible for:

  • Compliance with Stripe's terms of service
  • Tax collection and remittance (as applicable)
  • Refund policies for your customers
  • Customer disputes and chargebacks

6. Data and Privacy

Our collection and use of data is described in our Privacy Policy, which is incorporated into these Terms by reference.

Your Customer Data

You retain all rights to the customer data you store through StackBE. We process this data on your behalf and will not use it for any purpose other than providing the Service. You are responsible for:

  • Having appropriate legal basis to collect and process your customers' data
  • Providing your customers with appropriate privacy disclosures
  • Responding to your customers' data rights requests

7. API Keys and Security

API keys provide access to your StackBE account and your customers' data. You are responsible for:

  • Keeping API keys confidential and secure
  • Not sharing API keys in client-side code, public repositories, or logs
  • Rotating keys if you suspect they have been compromised
  • All actions taken using your API keys

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

We are not liable for any damages resulting from Service downtime or interruptions.

9. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by StackBE and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

The StackBE SDK is provided under the terms of its package license.

You retain all rights to your application code and customer data.

10. Limitation of Liability

To the maximum extent permitted by law, StackBE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms.

Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your data in accordance with our Privacy Policy
  • Outstanding fees remain due
  • Provisions that by their nature should survive will survive termination

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by notifying you via email. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms will be resolved in the courts of the United States.
